1. Trustees

The business of the Association shall be controlled by a board of nine trustees, who shall be lot owners in Verona Cemetery. Trustees shall be elected for a term of three years, then may be re-elected as deemed appropriate by vote of other trustees. The annual trustee meeting shall be held in April of each and every year.

2. Organization

The Board of Trustees at the annual meeting shall organize the board by electing from their number a president, a vice president, a secretary-treasurer, and such other officers as may be deemed necessary by the board, who shall serve one year or until their successors are elected. The board shall fill all vacancies in their number occurring during the year, and shall have power to remove any of said officers at any time for sufficient cause. The trustees at each annual meeting shall answer questions from lot owners who may be in attendance about association management and condition of the property.

3. Duties of President

It shall be the duty of the president or his designated substitute to preside at all meetings of the Board of Trustees; conduct election of all committees; sign deeds for cemetery lots; sign all other documents requiring his signature; call special meetings of the board according to need; perform other duties as are ordinarily performed by presidents of such organizations.

4. Duties of Secretary-Treasurer

It shall be the duty of the secretary-treasurer, along with the president, to sign all deeds; receive all moneys belonging to the Association; pay all just debts; keep an accurate account of the same; report the same at each annual meeting; give public notice of the annual meeting in a local newspaper as required by law: once a week for three successive weeks next preceding the meeting; attend all meetings of the Board of Trustees; record the proceeding of the same; keep a registry of burials; grant permits for digging graves; keep and preserve appropriate books and papers belonging to the Association, and deliver the same to successor.

5. Duties of Superintendent

It shall be the duty of the superintendent to oversee the groundskeeping in good order; designate a person to meet all funeral processions and escort them to the graves; keep a record of all burials, giving name of person, date of interment, section and number of lot, and report the same to the secretary promptly; eject from the grounds any person acting in a disorderly or disrespectful manner, including anyone damaging any monument, gravestone, fence, tree, shrub, bush or flower, and report such offender to the Board of Trustees; perform such other duties as may be required of him by said board.

6. Quorum

A quorum for the transaction of business at any regular meeting of the board shall consist of at least five out of the nine members, except in the case of an emergency decision.

7. Agenda for Annual Meeting of the Board

The following order of business shall be observed at the Annual Meeting of the Association/Trustees:

  1. Call to order by the president
  2. Minutes of previous meeting of the Association/Trustees for information, discussion, and approval
  3. Report of the secretary-treasurer for discussion and approval
  4. Election of trustees
  5. Election of president
  6. Election of vice-president
  7. Election of secretary-treasurer
  8. Election of superintendent
  9. Election of assistant superintendent
  10. Salaries of superintendent and secretary-treasurer
  11. Election of executive committee
  12. Election of audit committee
  13. Any further discussion/action about income, expenses, and investments
  14. Discussion and action about cemetery premises:
    – Remarks from superintendent
    – Selection of groundskeeping company and approval of cost
    – Condition of driveways (gravel)
  15. Other trustee business
  16. Adjournment

8. Agenda for Special Meetings

The following order of business shall be observed at Special Meetings:

  1. Call to order by the president
  2. State reason for special meeting
  3. Conduct business, voting on any changes
  4. Adjournment
